Terms and Conditions

Welcome, and thank you for your interest in Rank, operated by Rank Financial Technologies, S.A.P.I. de C.V. ("Rank," "we," "our," or "us").

These Terms of Service (the "Terms") set forth the conditions that apply to you when you use our platform, mobile application, or services (collectively, the "Service").

BY USING THE SERVICE OR CLICKING "I ACCEPT," YOU INDICATE THAT YOU ACCEPT THESE TERMS AND AGREE TO COMPLY WITH THEM, AS WELL AS ALL APPLICABLE LAWS AND REGULATIONS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE SERVICE.

Rank may change, modify, supplement, or update these Terms at any time. We will make reasonable efforts to notify you in advance of any material change. Your continued use of the Service after these Terms are modified means that you accept those changes. We recommend reviewing these Terms whenever you access the Service.

1. Description of the Service

Rank is a personal financial information and management technology platform that allows users to:

  • View consolidated financial information from multiple accounts and institutions
  • Analyze income, expenses, savings, and total net worth
  • Set financial goals and objectives
  • Receive personalized insights and recommendations based on artificial intelligence
  • Securely manage and centralize their financial information

Rank is a personal financial information, analysis, and support tool; it is not a financial institution, bank, brokerage firm, or securities intermediary.

GAIA — Financial Operating Agent

Rank includes GAIA, an artificial intelligence-powered Financial Operating Agent. GAIA helps users organize their financial information, perform contextual analysis, generate personalized recommendations, and receive operational support within the platform. Users may interact with GAIA through different Service interfaces. Any action GAIA may propose within the platform requires the user's express confirmation before it is carried out.

GAIA's responses, suggestions, and analyses are for informational purposes only and do not constitute financial, investment, accounting, tax, legal, or other professional advice.

2. Nature and Limitations of the Service

What is Rank?

  • A financial information and visualization platform
  • A personal finance analysis tool
  • An aggregator of third-party financial information
  • An artificial intelligence-powered financial operating platform

What is Rank NOT?

  • It is not a bank or regulated financial institution
  • It does not offer bank accounts or deposit services
  • It does not provide credit, loans, or lines of financing
  • It does not execute financial transactions on behalf of users
  • It is not a brokerage firm or securities intermediary
  • It is not a professional financial advisor

Important: Services Rank may offer in the future, such as automations, cards, accounts, payments, or transfers, will be subject to applicable regulation, the user's express acceptance, and additional terms disclosed at that time.

3. Registration and Eligibility

To use Rank, users must:

  • Be at least 18 years old
  • Provide truthful, complete, and current information during registration
  • Accept these Terms and Conditions
  • Accept Rank's Privacy Notice

Rank reserves the right to:

  • Reject or cancel access for any user
  • Terminate its relationship with users who violate these Terms
  • Suspend access if suspicious or illegal activity is detected
  • Verify a user's identity at any time

Login Credentials

Users are responsible for maintaining the confidentiality of their login credentials (username, password, and authentication tokens). Users are fully responsible for any activity under their account, whether or not they know about it. Rank will not be liable for losses resulting from unauthorized access to a user's account.

4. Electronic Communications

By registering for and using the Service, users agree to receive electronic communications from Rank, including:

  • Transactional notices, including payment confirmations, subscription alerts, and security notices
  • Service updates and changes to the Terms or Privacy Notice
  • Push notifications through the mobile application, subject to device settings
  • Support and customer-service communications

These communications satisfy any legal requirement that notice be provided in writing. Users may manage communication preferences from their account settings. Opting out of marketing communications does not affect transactional communications required to operate the Service.

For legal-notice purposes, communications sent to the email address registered to a user's account will be deemed properly delivered.

5. Financial Account Connections

User Authorization

By authorizing a connection to bank accounts and financial institutions, the user:

  • Authorizes Rank to act as their agent to retrieve financial information from third parties
  • Grants Rank limited power of attorney to access financial account information solely to provide the Service
  • Agrees that Rank may use specialized third-party providers, including Paybook (operating commercially as Syncfy) and Plaid Inc., to facilitate the connection and aggregation of financial information

Use of Syncfy

When a connection is facilitated by Paybook, operating commercially as Syncfy, the user authorizes Syncfy to obtain from the financial institution and transmit to Rank the financial information required to provide the Service, in accordance with the permissions granted during the connection process. Paybook/Syncfy's processing is subject to the Paybook/Syncfy Privacy and Security Policy.

Use of Plaid

When a connection is facilitated by Plaid Inc., the user authorizes Plaid to obtain from the financial institution and transmit to Rank the financial information required to provide the Service, in accordance with permissions granted during the connection process. Plaid's processing is subject to the applicable Plaid End User Privacy Policy.

Rank's Responsibilities

  • Rank DOES NOT store bank credentials or access information
  • Authentication takes place directly between the third-party provider and financial institution
  • Rank receives only the financial information expressly authorized by the user
  • Data is synchronized through security-certified APIs

User Responsibilities

  • Users are responsible for reviewing and accepting the third-party provider's privacy policies
  • Users must never share their credentials with Rank
  • Users are responsible for revoking access when they consider it necessary

Limitations of Aggregated Data

Users acknowledge and agree that financial information obtained through connections to banks and financial institutions may be subject to limitations inherent to data aggregation services, including:

  • Delayed transactions: transactions may not appear immediately and may take one or more business days to be reflected
  • Missing transactions: some transactions may not be transmitted by the financial institution or aggregation provider
  • Duplicate transactions: in exceptional cases, duplicate transactions may appear because of errors in source systems
  • Institutional interruptions: financial institutions may block, restrict, or interrupt access to their data unilaterally and without prior notice to Rank
  • API changes: aggregation providers or financial institutions may change their technical interfaces, temporarily interrupting synchronization
  • Source-data quality: accuracy and completeness depend on each financial institution's systems and standards

Disclaimer: Rank is not responsible for losses, decisions, or consequences resulting from incomplete, delayed, or inaccurate information from financial institutions or aggregation providers. If a user identifies inaccurate information, they should contact the relevant financial institution directly.

6. Artificial Intelligence and GAIA

Rank integrates artificial intelligence technologies to analyze financial information and provide users with a personalized experience.

6.1 Artificial Intelligence Technologies

Rank integrates artificial intelligence technologies to provide the following features:

  • Automatic categorization of transactions and expenses
  • Contextual analysis of personal financial patterns and information
  • Budget, goal, and financial optimization recommendations
  • Operational support within the platform through GAIA

External language models used by Rank provide natural-language comprehension and generation capabilities. These models do not have direct access to user accounts or Rank's internal systems. Any information shared with these providers is limited to the context strictly necessary to provide the requested functionality. Financial calculations, balances, net-worth metrics, and numerical analyses are performed by Rank's internal systems.

6.2 GAIA — Financial Operating Agent

GAIA is Rank's artificial intelligence-powered Financial Operating Agent. GAIA helps users organize their financial information, perform contextual analysis, generate recommendations, and receive operational support within the platform. Users may interact with GAIA through different Service interfaces.

6.3 Definition of Outputs

Responses, analyses, recommendations, categorizations, summaries, and information generated by Rank's artificial intelligence technologies (collectively, "Outputs") are automated results subject to the inherent limitations of those technologies.

6.4 Limitations and User Responsibility

Artificial intelligence Outputs:

  • Are for informational and educational purposes only
  • Do not constitute financial, investment, accounting, tax, legal, or other professional advice
  • May contain errors, inaccuracies, or outdated information
  • Are based on user information and/or third-party data whose accuracy Rank cannot guarantee

Because artificial intelligence technologies involve known and unknown risks and limitations, users are responsible for independently evaluating the accuracy and usefulness of any Output before making financial decisions. Rank recommends verifying relevant information with qualified professionals before making important financial decisions.

6.5 Prohibition on Use to Train AI Models

Using the Service, Outputs, data obtained through Rank, or any interaction with GAIA to train, develop, fine-tune, or improve artificial intelligence models, machine-learning systems, or other AI technologies belonging to the user or a third party—whether for commercial, academic, or any other purposes—is expressly prohibited without Rank's prior express written authorization.

6.6 User Inputs

By interacting with the Service, users grant Rank a limited, non-exclusive, revocable license to use their inputs and interactions, in anonymized or aggregated form as appropriate, to maintain, operate, protect, improve, and develop the Service, at all times subject to the Privacy Notice. Rank will not use identifiable personal financial information to train proprietary artificial intelligence models without additional notice and the user's express consent.

6.7 User Confirmation

Any action GAIA may propose within the platform that affects user data, settings, or workflows requires the user's express confirmation before it is carried out. Users retain full control over their information and decisions at all times.

Important: Because of the known and unknown risks of artificial intelligence technologies, users are responsible for independently evaluating the accuracy and usefulness of any Output. AI models may contain biases, errors, or limitations. GAIA's responses are not a substitute for advice from qualified professionals.

7. User Responsibilities

Users agree to:

  • Provide truthful, complete, and current information
  • Use the Platform legally and ethically
  • Comply with all applicable laws and regulations
  • Respect the intellectual property of Rank and third parties
  • Not attempt to compromise system security

Users are solely responsible for:

  • Their financial decisions and their consequences
  • How they use information provided by Rank
  • Maintaining the confidentiality of their login credentials
  • Verifying data accuracy before relying on it
  • Consulting qualified professionals about important decisions

8. Restrictions on Use

Users agree not to:

  • Copy, distribute, modify, or use the Platform without authorization
  • Reverse engineer, decompile, or attempt to access source code
  • Use the Platform for commercial or competitive purposes
  • Attempt to gain unauthorized access to systems or accounts
  • Transmit malware, viruses, or malicious code
  • Harass, threaten, or harm other users
  • Violate any applicable federal, state, or local law
  • Use Rank to provide unlicensed financial, legal, or investment advice
  • Use Platform data to train AI models without express authorization
  • Access nonpublic or technical areas of the Platform
  • Use Rank to build competing services

Rank reserves the right to take legal action to prevent or penalize violations of these restrictions.

9. Limitation of Liability

Rank will not be liable for:

  • Financial or investment decisions made by users
  • Economic or financial losses arising from use of the Platform
  • Errors in information provided by third parties, including banks, financial institutions, or technology providers
  • Service interruptions, suspensions, or maintenance
  • Unauthorized third-party access to user information
  • Changes to third-party data outside Rank's control
  • Incorrect or inaccurate Outputs generated by artificial intelligence technologies

Limitation of Damages: Rank's total aggregate liability for any claim will not exceed the fees paid by the user to Rank during the 12 months preceding the claim. If the user made no payments during that period, maximum liability will be MXN $500. Rank will not be liable for indirect, consequential, punitive, special, or lost-profit damages, even if Rank was advised that such damages were possible.

10. Indemnification

To the fullest extent permitted by law, users agree to defend, indemnify, and hold harmless Rank Financial Technologies, S.A.P.I. de C.V. and its officers, employees, agents, suppliers, and partners from any claim, damage, loss, liability, cost, or expense, including reasonable legal fees, arising from:

  • The user's breach of these Terms
  • Use of the Service in an unauthorized manner or contrary to these Terms
  • Violation of third-party rights
  • Any inaccurate or incomplete information provided by the user

Rank reserves the right to assume the exclusive defense of any matter subject to indemnification by a user, in which case the user will reasonably cooperate with Rank in that defense.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS", without warranties of any kind, express or implied. Rank disclaims:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties regarding the accuracy, completeness, or timeliness of information
  • Warranties of uninterrupted Service availability
  • Warranties that the Service complies with specific financial regulations

Users assume all risks associated with use of the Platform, including:

  • Risk of losing data or information
  • Risk that the Service may be unavailable when needed
  • Risk concerning the accuracy of third-party information
  • Risks inherent to the internet and mobile networks

Third-Party and Financial-Institution Data: RANK IS NOT RESPONSIBLE FOR THE ACCURACY OF FINANCIAL INFORMATION OBTAINED FROM FINANCIAL INSTITUTIONS, BANKS, OR DATA-AGGREGATION PROVIDERS. RANK DOES NOT GUARANTEE THAT IT CAN OBTAIN, MAINTAIN, OR SYNCHRONIZE INFORMATION FROM ANY PARTICULAR FINANCIAL INSTITUTION. INFORMATION AVAILABLE ON THE PLATFORM MAY NOT REFLECT THE CURRENT, ACCURATE, OR COMPLETE STATUS OF A USER'S ACCOUNTS.

12. Intellectual Property

All rights in the Platform, software, design, content, the "Rank" brand, and all intellectual elements belong exclusively to Rank Financial Technologies, S.A.P.I. de C.V. or its licensors.

Limited License

Rank grants users a limited, revocable, non-exclusive, non-transferable license to:

  • Download and use the Platform
  • Access authorized features
  • Use the Platform solely for personal, noncommercial purposes

Restrictions

Without prior authorization, users may not:

  • Copy, reproduce, or distribute the Platform
  • Modify, adapt, or create derivative works
  • Use the Platform or its content for commercial purposes
  • Remove trademarks, copyright notices, or proprietary-rights notices
  • Extract, clone, or replicate data in bulk

13. Subscriptions and Payments

13.1 Subscription Plans

Rank offers monthly and annual subscription plans. Access to premium features requires an active subscription. Prices are denominated in Mexican pesos (MXN) and/or the currency specified at the time of purchase.

13.2 Payment Processing — Stripe

Subscription payments are processed by Stripe, Inc., an external payment-services provider. Rank does not store complete payment-card details. By providing payment information, users accept Stripe's applicable terms of use. Users must provide valid, complete, and current payment information.

13.3 Recurring-Charge Authorization

By activating a subscription, users authorize Rank and its payment providers to automatically charge the amount of the selected subscription at the beginning of each billing period until the user cancels or Rank terminates the subscription.

13.4 Automatic Renewal

Subscriptions renew automatically at the end of each billing period, monthly or annual depending on the plan. Users will receive reasonable advance notice of any change to the renewal price. To prevent automatic renewal, users must cancel at least 24 hours before the current period ends.

13.5 Free Trials and Promotional Rates

Rank may offer free trials or promotional rates. No charge will be made during a free trial. To access a trial, the user must register a valid payment method. At the end of the trial, the subscription automatically becomes a paid subscription and the corresponding charge is made unless the user cancels before expiration.

Promotional rates apply for the specified periods. At the end of a promotional period, the subscription will automatically continue at the then-current regular rate. Each user may access a free trial or promotional rate only once.

13.6 Management Through the App Store and Google Play

If a user purchases a subscription through the Apple App Store or Google Play, the subscription, including cancellation, renewal, and refunds, must be managed directly through the applicable store. Rank cannot cancel, modify, or refund subscriptions purchased through application stores. Users should consult the applicable store policies.

13.7 Plan Changes

Plan changes, upgrades, downgrades, or subscription modifications will be processed under the billing rules shown to the user when the change is made.

13.8 Payment Failure

If a payment cannot be processed, Rank reserves the right to suspend, restrict, or cancel access to the Service. Users are responsible for keeping their payment method current. Rank may retry the charge under the payment provider's terms. Users remain responsible for all outstanding charges.

13.9 Price Changes

Rank may change subscription prices at any time. Users will receive reasonable advance notice of a price increase and an opportunity to cancel before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the new price.

13.10 Cancellation

Users may cancel at any time from their account settings or by contacting support@rankfinance.app. Cancellation takes effect at the end of the current billing period. Users retain access through the expiration of the paid period. Charges already made are nonrefundable except as provided in Section 13.11.

13.11 Refund Policy

Subscription fees are nonrefundable except when: (a) the user purchased the subscription directly through Rank, not through an application store; (b) the user cancels within one month after the first purchase; and (c) the user requests a refund at support@rankfinance.app within five business days after cancellation. Outside this period, refunds will not be provided except as required by applicable Mexican law.

Rank reserves the right, in its sole discretion, to issue refunds, credits, or discounts in individual cases without creating an obligation to provide the same benefit in the future.

Account Deletion vs. Subscription Cancellation: Canceling a subscription and deleting an account are separate processes. When a subscription is canceled, billing stops at the end of the current period, but the account remains active. When an account is deleted, the user requests permanent deletion of their data. Active subscriptions must be canceled separately before account deletion takes effect. Users may initiate account deletion directly in the application or contact support@rankfinance.app for assistance.

14. Privacy

The processing of users' personal data is governed by Rank's Privacy Notice, which forms an integral part of these Terms and Conditions.

By accepting these Terms, users also accept:

  • Rank's Privacy Notice
  • The collection and processing of personal data in accordance with that Notice
  • The use of anonymized or aggregated data to maintain, operate, protect, improve, and develop the services

15. Third-Party Services

15.1 Technology Providers

The Service incorporates or depends on technology services provided by third parties, including, without limitation: Google LLC / Firebase for infrastructure, authentication, and storage; Paybook, operating commercially as Syncfy, and Plaid Inc. for bank aggregation and connections to financial institutions; Stripe Inc. for payment processing; PostHog for product analytics; and Sentry for error monitoring. Each provider is subject to contractual confidentiality and security obligations.

15.2 No Liability for Third Parties

Rank does not control, supervise, or guarantee the operation, availability, accuracy, or security of third-party services. Interruptions, errors, data loss, or changes in third-party services are outside Rank's control and do not create liability to users. Users accept each provider's applicable terms of use and privacy policies when using the Service.

15.3 External Sites and Services

The Service may contain links or references to external sites, applications, or services. Rank does not endorse or control and is not responsible for the content, privacy, security, accuracy, or practices of those external sites or services. Users access them at their own risk.

16. Force Majeure

Rank will not be liable for any delay, failure, or interruption of the Service caused by circumstances outside its reasonable control, including, without limitation: internet or telecommunications infrastructure failures; interruptions to third-party services, including cloud providers, bank aggregators, or payment processors; traffic overload; cyberattacks; natural disasters; epidemics; strikes; governmental acts; legal restrictions; or any other force-majeure event.

To the extent possible, Rank will make reasonable efforts to notify affected users and restore the Service as quickly as possible.

17. Termination of Service

Rank may suspend, deactivate, or cancel a user's account in the event of:

  • A violation of these Terms and Conditions
  • Improper, fraudulent, or illegal use of the Platform
  • Suspicious activity or activity that violates applicable regulations
  • Failure to pay subscription fees
  • Rank's sole discretion, with prior notice whenever reasonably possible

Effects of Termination

  • The user immediately loses access to the Platform
  • User data is handled under the retention policy in the Privacy Notice
  • License rights terminate immediately
  • Payment obligations continue through the end of the current period
  • Intellectual-property, limitation-of-liability, and indemnification provisions survive termination

Account Deletion by the User

Users may delete their account at any time directly through the application. For help with deletion, contact support@rankfinance.app. If a subscription is active, it must be canceled separately before account deletion takes effect. After deletion is confirmed, data is handled according to the grace period established in the Privacy Notice.

Users may stop using the Platform at any time simply by canceling their account or ceasing to access the Service.

18. Modifications

Rank may modify these Terms and Conditions, the Platform, its features, or its services at any time. Material modifications will be communicated through:

  • A notice within the Platform
  • An email to the registered address
  • Publication on the Terms page

Continued use of the Platform after changes constitutes acceptance of the modified Terms. Users who do not accept the changes must stop using the Platform.

Rank may also:

  • Modify, add, or remove Platform features
  • Change subscription plans and prices with prior notice
  • Change technical or compatibility requirements

19. Dispute Resolution

19.1 Direct Contact

In the event of any dispute, claim, or controversy related to the Service or these Terms, users must first contact Rank at legal@rankfinance.app and describe the nature of the dispute in writing. Rank will make reasonable efforts to resolve the dispute amicably within 30 days after receipt.

19.2 Conciliation

If an amicable solution is not reached within that period, the parties may seek conciliation before Mexico's Federal Consumer Protection Agency (PROFECO) or another competent conciliation body under Mexican law.

19.3 Jurisdiction

If conciliation does not resolve the dispute, the parties submit to the jurisdiction of the competent courts in Guadalajara, Jalisco, Mexico, under applicable Mexican law, and waive any jurisdiction that may otherwise apply because of their present or future domiciles.

The parties may agree in writing to submit to commercial arbitration under applicable Mexican law as an alternative to judicial proceedings.

19.4 Limitation Period

Any user claim against Rank must be filed within one year after the cause of action arose, unless the law provides a longer period.

Notice of Disputes: Users must notify Rank in writing at legal@rankfinance.app, describing the nature of the dispute within 30 days after it arises, to provide an opportunity for amicable resolution before initiating formal proceedings.

20. Governing Law

These Terms and Conditions are governed by:

  • The laws of the United Mexican States
  • Specifically, the laws of the State of Jalisco
  • Without application of conflict-of-laws principles

Jurisdiction

  • The parties submit to the jurisdiction of the competent courts in Guadalajara, Jalisco
  • The parties waive any objection to jurisdiction based on domicile

Applicable Regulations

Users acknowledge that Rank is subject to current Mexican law, including, without limitation:

  • Federal Law on the Protection of Personal Data Held by Private Parties (LFPDPPP)
  • Federal Consumer Protection Law
  • Law to Regulate Financial Technology Institutions (Fintech Law), to the extent applicable
  • Other Mexican laws and regulations applicable to financial-information technology platforms

Regulatory Status: Rank is a financial-information management technology platform. Rank is not a financial institution, bank, brokerage firm, or entity regulated by Mexico's National Banking and Securities Commission (CNBV), National Commission for the Protection and Defense of Financial Services Users (CONDUSEF), or any other Mexican financial regulator, except to the extent expressly required by the Fintech Law or other applicable provisions.

Regulatory Compliance

Rank is committed to complying with all applicable laws and regulations in Mexico. Users are responsible for complying with regulations in their own jurisdiction.
